Established in 1993, Guangdong He Zhong Tuo Zhan Law Office is a partnership law firm. Its predecessor was Guangzhou International Commercial Law Office, transformed from Legal Affairs Department of Guangzhou Branch of CCPIT. It was approved and licensed by Ministry of Justice of the People’s Republic of China to provide all-round law service mainly focusing on Sino-foreign economic and trade activities.

The Contract Text Of Retaining Attorney
Contract of Retaining Perennial Counselor

Appointer (hereinafter called Party A):
Appointee(hereinafter called Party B): Guangdong He Zhong Tuo Zhan Law Office
Article 1. Party B hereby accepts the engagement by Party A and appoints Attorney He Yanfei to hold the post of the perennial counselor of Party A. The counselor shall provide legal aid for Party A, handle the legal affairs of Party A and defend the legitimate rights and interests of Party A.
Article 2. The term of validity of this contract is two years, begins on _____________ and ends on _____________ . The retaining fee is ___________ yuan per year. When this contract is made, Party A shall pay Party B two years’ retaining fee ___________ yuan.
When the appointed attorney handles the following seven affairs, Party A does not need to execute the commission formality additionally or to pay the extra money.
A. providing legal counseling and suggestion for Party A
B. assisting in censoring relevant legal affairs documents of Party A
C. assisting in censoring all sorts of contracts with foreign involvement made by Party A
D. participating in the planning and designing, negotiation, as well as drawing up of all sorts of contracts made by Party A
E. issuing legal letters, position papers and other legal documents in accordance with authorization of Party A
F. issuing public statements in accordance with authorization of Party A to declare and protect the legitimate rights and interests of that by such public media as newspapers, magazines, radio, or television.
G. assisting Party A in standardizing the operation and management by designing and making the rules and regulations concerned.
Article 3. When the appointed attorney substitutes for attending the lawsuit case, the arbitration case as well as handling the affairs beyond the above seven affairs, both parties shall execute the commission formality additionally. Party A shall pay the extra money. Party B shall first accept them and have the preferential charge according to the stipulated charge standard.
Article 4. In order to enable the appointed attorney to carry out his or her duties well and provide efficient legal aid for Party A, Party A shall faithfully elaborate on the details of the case and furnish with materials of that to the appointed attorney. In case the related meetings, case study or negotiations involve the appointed attorney, Party A shall inform ahead of time and submit the essential materials in advance to cause the appointed attorney to have time for full preparation.
Article 5. In case the appointed attorney carries out his or her duty to other place at Party A’s request, the necessary expenditures including transportation and accommodation shall be borne by Party A.
Article 6. Party A shall choose any one of the following three methods of payment of the retaining fee.
A. paying by cash
B. paying by telegraphic money order to Party B’s bank account in Renminbi.

Article 8. This contract is written in quadruplicate, two for each party.
It shall become effective on the date on which it is signed.

This contract is made by and between Party A and Party B whereby Party A entrusts ____________ case to Party B according to the terms and conditions stipulated below:
Article 1. Purview of authorization: _____________________________
Article 2. Party B shall accept the entrustment by Party A to appoint Attorney or other attorney as legal representative of Party A at first instance so as to perform its duty and defend the legitimate rights and interests of Party A. If there is a session of a court, an attorney may be appointed to appear in court only. In case the above-mentioned appointed attorney fail to perform his or her duty, Party B shall be responsible to appoint other attorney as substitute
Article 3. Party A shall faithfully elaborate on the details of the case and provide the documentary materials and evidences in relation to the case for the appointed attorney. (It’s very important.) In case unfaithful presentation on the case or fake evidences provided by Party A occur after appointment, Party B shall reserve the right to terminate the Contract and keep the retaining fees and other charges already paid. In addition, in the case there is the risk of possibly losing the lawsuit by reason of overdue presen, ting evidence or insufficient regard to evidence. Party B has informed party A of the lawsuit risk of the case when the Contract is made.
Article 4. In case Party A relieves the clientage unilaterally, Party B shall keep the retaining fees and other charges already paid. The unpaid expenses shall be kept up by Party B.
Article 5. Party A shall pay the expenses in litigation at first instance as follows.
A. A retaining fee at first instance worth of __________ yuan shall be paid in lump sum at the time of the signing of this Contract;
B. Party A shall bear the expenditures occurred including transportation and accommodation when Party B handling the case at other place against bills;
Party A shall choose any one of the following three methods of payment.
